Welcome to Prosaic, a subscription software app for accountants, bookkeepers and their clients, to provide bank transaction feeds and AI powered cash coding to streamline tax preparation. Before you use our services, we require that you carefully read and agree to the following terms of use. Your use of the Prosaic software app is subject to these terms of use, which are legally binding.

Acceptance of Terms of Use

By using Prosaic, you agree to comply with all terms and conditions set forth in these Terms of Use. If you do not agree with any provision of these Terms of Use, please do not use the Prosaic app.

Description of Service

Prosaic is a subscription-based software app that scans your bank data to identify tax-deductible business expenses. Our software is designed to help users identify expenses that can be deducted on their tax returns. However, please note that our service is not a substitute for professional tax advice, and is not responsible for any income or tax declarations you make to governing bodies. We recommend you seek professional advice on any declarations and maintain records in accordance with the laws of your country of residence.

Your Account

To use our services, you must create an account with Prosaic. You agree to provide accurate and complete information when registering your account, and to update your information promptly if any changes occur. You are responsible for maintaining the confidentiality of your account login information and are liable for any activity that occurs under your account.

Prosaic values your privacy and is committed to protecting your personal information. Please refer to our Privacy Policy for information on how we collect, use, and protect your personal information.

‍Payment

Prosaic requires payment of a subscription fee to use our services. Subscription fees are billed in advance, and you are responsible for all charges incurred under your account. Subscription fees are non-refundable except as expressly provided in these Terms of Use or as required by law.

• Month-to-Month Subscription: Clients subscribing to the Prosaic software app on a month-to-month basis have the flexibility to cancel their subscription at any time. No additional fees will be charged upon cancellation, but no refunds will be provided for any remaining days in the billing cycle. Clients are advised to cancel before their next billing date to avoid being charged for the subsequent month.
• Annual Subscription: Clients who opt for an annual subscription commit to a full year of service. If a client wishes to cancel an annual subscription before the end of the term, they will not receive a refund for the unused portion of the subscription. However, access to Prosaic services will continue until the end of the paid annual term.
• Free Trial or Introductory Offer: If Prosaic offers any free trials or introductory discounted periods, these terms will be specified at the onset of the offer. Upon completion of the trial or offer period, the subscription will transition to regular payments unless otherwise cancelled by the client.
• Auto-renewal: All subscriptions, unless stated otherwise, are set to auto-renew at the end of each billing cycle. Clients will be notified before any renewal charges are made. To prevent auto-renewal, clients must cancel their subscription before the next billing date.
• Late Payments: In the event of a late payment, access to Prosaic services may be temporarily suspended until the due amount is settled. A reminder will be sent to the client, and if payment is not received within a specified period, additional penalties or fees may apply.
• Price Changes: Prosaic reserves the right to adjust subscription pricing. Clients will be notified of any price changes at least 30 days in advance. Continued use of Prosaic services after the price change comes into effect constitutes agreement to the new pricing terms.

Use Restrictions

You may use Prosaic solely for your personal or business use and only for the purposes set forth in these Terms of Use. You may not copy, modify, distribute, or create derivative works based on our software without our prior written consent. You may also not use Prosaic to extract any proprietary information, reverse engineer our software, or attempt to solicit Prosaic's customers for competitive purposes. Any attempt to do so will result in immediate termination of your account and potential legal action.

Intellectual Property

Prosaic and its licensors retain all rights, title, and interest in and to the Prosaic software and all related intellectual property rights. You may not use any of Prosaic's trademarks, logos, or other proprietary graphics without our prior written permission. Unauthorised use of these elements is strictly prohibited and may result in legal action. Prosaic grants you a limited, non-exclusive, non-transferable, revocable license to use our software for the purposes set forth in these Terms of Use.

Disclaimer of Warranties

Prosaic makes no representation or warranty, express or implied, regarding the accuracy, completeness, or reliability of the information obtained through our software. Prosaic does not warrant that our software will be error-free or uninterrupted.

Beta Features Disclaimer

Prosaic may offer certain features or functionality in "beta" for testing purposes. Beta features are provided "as is" and may contain defects or errors. Use of beta features is at your own risk, and they may be modified or discontinued at any time without notice.

Limitation of Liability

Prosaic shall not be liable to you or any third party for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of our software.

Third-Party Services

Prosaic may integrate with or provide access to third-party services as part of our offerings. These third-party services are provided for your convenience, but Prosaic makes no guarantees regarding their performance or reliability. You agree to indemnify and hold Prosaic, its affiliates, officers, agents, and employees harmless from any claim, demand, or damage, including reasonable attorney fees, arising out of your use of our software or violation of these Terms of Use.

These Terms of Use shall be governed by and construed in accordance with the laws of your country of residence, without giving effect to any principles of conflicts of law.

Prosaic may terminate your account at any time, with or without cause, without liability to you or any third party.

Prosaic may amend these Terms of Use at any time, with or without notice to you. Your continued use of our software after such amendment constitutes your agreement to the amended terms.

Entire Agreement

These Terms of Use constitute the entire agreement between you and Prosaic and supersede all prior agreements,
